These Terms of Service ("Terms") govern your access to and use of the GetHaulDirect.com platform, website, and services (the "Platform") operated by GetHaulDirect ("we," "our," or "us"). By creating an account or using the Platform, you agree to be bound by these Terms.

1. Platform Overview

GetHaulDirect is a freight marketplace that connects shippers directly with carriers. We facilitate the posting of loads, submission of bids, and coordination of freight shipments. GetHaulDirect is not a freight broker, carrier, or shipper. We provide a technology platform that enables direct transactions between parties.

2. Account Registration

To use the Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Shippers must provide valid company information and contact details.

Carriers must provide valid DOT number, MC number, and maintain current insurance and operating authority as required by the Federal Motor Carrier Safety Administration (FMCSA). Carrier credentials are verified before bidding is enabled.

3. Load Posting and Bidding

Shippers: When posting a load, you must provide accurate information regarding pickup location, delivery location, freight type, weight, dimensions, and any special handling requirements. Misrepresentation of freight details may result in account suspension.

Carriers: Bids submitted through the Platform constitute binding offers. Once a shipper accepts a bid, a binding agreement is formed between the shipper and carrier. Carriers must have appropriate equipment and authority to haul the specified freight.

4. Transaction Fees

GetHaulDirect charges transaction fees based on your subscription plan:

• Starter (Free): 2.9% per transaction, up to 3 loads per month
• Growth ($299/month): 1.9% per transaction, unlimited loads
• Enterprise (Custom): 1.2% per transaction, custom terms

Transaction fees are deducted from the payment before disbursement to the carrier. All fees are non-refundable except as required by law.

5. Payments and Escrow

All payments are processed through our secure escrow system. When a shipper accepts a carrier's bid:

• The agreed amount is held in escrow
• Funds are released to the carrier upon confirmed delivery and shipper approval
• Carriers receive payment within 24-48 hours of delivery confirmation (Quick Pay)
• Disputes must be filed within 7 days of delivery

6. Carrier Requirements

All carriers on the Platform must:

• Maintain active FMCSA operating authority
• Carry minimum required insurance (auto liability, cargo, general liability)
• Maintain a satisfactory FMCSA safety rating
• Comply with all applicable DOT and FMCSA regulations
• Provide accurate and timely tracking updates when GPS tracking is enabled

Failure to maintain these requirements may result in immediate account suspension.

7. Prohibited Conduct

You agree not to:

• Provide false or misleading information
• Circumvent the Platform to arrange transactions directly after initial contact
• Use the Platform for illegal shipments or hazardous materials without proper authorization
• Harass, threaten, or discriminate against other users
• Attempt to manipulate bids, ratings, or reviews
• Use automated tools to scrape data or submit bids
• Violate any applicable laws or regulations

8. Limitation of Liability

GetHaulDirect is a marketplace platform and is not a party to the transportation contract between shippers and carriers. We are not liable for:

• Damage, loss, or delay of freight during transportation
• Carrier's failure to perform transportation services
• Shipper's failure to tender freight as described
• Accuracy of carrier credentials or insurance beyond initial verification

To the maximum extent permitted by law, our total liability for any claim arising from your use of the Platform shall not exceed the fees paid by you to GetHaulDirect in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless GetHaulDirect, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

10. Dispute Resolution

Between Users: Disputes between shippers and carriers should first be resolved through our in-platform dispute resolution process. If unresolved, disputes may be escalated to mediation.

With GetHaulDirect: Any dispute with GetHaulDirect shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Class action waiver applies.

11. Intellectual Property

The Platform, including its design, features, content, and technology, is owned by GetHaulDirect and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our discretion. You may close your account at any time by contacting support. Termination does not relieve you of obligations for pending transactions.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use after modifications constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Federal transportation regulations (49 CFR) apply to all transportation activities facilitated through the Platform.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
